Agreement terms

This Agreement is between Rosenthal Adult & Senior Care Connections (“RASCC”) and the Consumer identified above. A legally authorized representative may sign for the Consumer. A family member or other Responsible Party may participate as permitted by the Consumer or applicable law.

Important payment safety notice

Never pay RASCC or any RASCC staff member. RASCC will never ask a resident, Consumer, Responsible Party, family member, or representative to pay RASCC or its personnel for placement or care-connection services.

Do not send rent, deposits, care fees, application money, reimbursement advances, cash, checks, card payments, wires, electronic transfers, or any other funds to RASCC or its personnel. Pay the facility or provider directly using the instructions in that provider’s written agreement.

No control over approval, payment, or timing

RASCC does not administer, approve, deny, authorize, enroll, fund, or control Medi-Cal, Medicare, California Advancing and Innovating Medi-Cal (CalAIM), the Assisted Living Waiver (ALW), Regional Center services, Veterans benefits, managed-care benefits, private insurance, or any other government or third-party program.

RASCC has no authority or influence over eligibility, assessment results, authorization, enrollment, waitlists, processing time, effective dates, service levels, reimbursement rates, claims, retroactive payment, continued coverage, suspension, termination, or denial. Any information RASCC provides about possible benefits is general care-navigation information, not a promise, determination, or guarantee.

1 Purpose and limited role of RASCC

RASCC provides care-navigation, referral, introduction, and limited placement-coordination services. RASCC may gather information, identify potentially suitable providers, coordinate introductions or tours, transmit authorized information, and assist with reasonable communication related to a possible move-in.

RASCC is not a residential care facility, health care provider, insurer, managed care plan, government agency, care coordination agency, Regional Center, fiduciary, payment guarantor, lender, escrow agent, or collection agent. This Agreement is not a facility admission agreement and does not create a provider-patient, caregiver, agency, partnership, fiduciary, or employment relationship with RASCC.

RASCC does not have authority to bind the Consumer or any provider; sign or accept an admission agreement; approve or negotiate payment terms; admit or discharge a resident; direct care; or make medical, legal, financial, eligibility, coverage, or government-benefit decisions.

2 Services RASCC may provide
  • Collect intake information from the Consumer, family, authorized representative, hospital or discharge team, social worker, case manager, and other authorized sources.
  • Consider known care needs, mobility, cognition or behavior, medications, safety needs, budget, location, room preference, language, lifestyle preferences, timing, and payer status.
  • Identify potentially appropriate licensed residential care facilities, assisted living or board-and-care homes, adult residential settings, home care organizations, or other providers, as applicable.
  • Coordinate introductions, tours, provider assessments, communications, availability checks, and reasonable transition steps.

Each provider independently evaluates the Consumer and decides whether it can lawfully and safely meet the Consumer’s needs. RASCC does not diagnose, prescribe treatment, conduct a provider’s clinical assessment, or make the provider’s final admission decision.

3 Consumer choice; no guarantee of placement

The Consumer remains free to choose any provider, contact providers directly, use another referral service, decline a recommendation, or stop working with RASCC. Services are non-exclusive. Signing this Agreement does not require the Consumer to move into, hire, or remain with any provider introduced by RASCC.

RASCC does not promise or guarantee that a placement will be found or completed; that a particular provider will accept the Consumer; that a room, rate, service, staff level, waiver slot, or move-in date will remain available; or that any placement will occur within a requested timeline.

4 Provider compensation and financial disclosure

For the placement and care-connection services covered by this Agreement, the Consumer, resident, Responsible Party, and family do not pay RASCC. RASCC may be paid only by a participating facility or provider business under a separate written referral agreement if a qualifying admission, move-in, or service start occurs.

RASCC’s compensation may be a fixed amount, an amount or percentage tied to the resident’s rate, or another amount established in the separate provider agreement. Because RASCC is not contracted with every provider, the options presented may not include every provider in the market and may include providers that compensate RASCC. The Consumer may ask RASCC about the provider-specific compensation arrangement before making a final choice.

If RASCC, its owners, or an affiliated business has an ownership, management, or other material financial interest in a recommended provider, RASCC will disclose that relationship before the Consumer makes a placement decision.

5 No handling or facilitation of money

RASCC may assist the parties with introductions and communication, but it will not act for either party in billing, collection, remittance, escrow, reimbursement, or payment. RASCC will not collect, receive, hold, route, transfer, process, advance, lend, finance, guarantee, or distribute money belonging to the Consumer, a Responsible Party, a facility, a government program, an insurer, or another payer.

Any deposit, rent, room and board, care fee, service charge, copayment, share of cost, or other amount owed for housing or care must be paid directly to the facility or provider under that provider’s separate written admission or service agreement. Any compensation owed to RASCC must be paid directly by the facility or provider business to RASCC under their separate referral agreement. RASCC is not a party to either side’s payment obligations and does not assume, guarantee, or become responsible for either party’s debt.

6 Government and third-party benefits

Pending applications do not suspend private-payment obligations. Unless the facility expressly agrees otherwise in a separate writing, the Consumer and any person who separately agrees with the facility to be financially responsible must pay the facility’s required charges from private funds while an application, assessment, enrollment, authorization, appeal, claim, or reimbursement is pending, delayed, partially approved, denied, interrupted, or unavailable.

Do not rely on an application, referral, assessment, waitlist position, eligibility statement, verbal expectation, or anticipated approval as proof that a facility will be paid. A government or third-party program may require additional approvals, a participating or vendored provider, a specific authorization period, and covered services before payment is available.

Approval may not be retroactive and may not cover every day, charge, service, rate, deposit, or room-and-board amount. Under current ALW program rules, participants remain responsible for room and board even when waiver services are approved. The Consumer and Responsible Party must confirm current coverage and payment obligations directly with the program, payer, and facility.

RASCC will not pay or reimburse the Consumer, Responsible Party, family, facility, or any other person for deposits, rent, room and board, care fees, service charges, private-pay expenses, denied claims, uncovered amounts, late fees, relocation expenses, or any other costs arising from a pending, delayed, limited, discontinued, or denied benefit.

7 Rates, costs, and provider agreements

Facilities and providers independently establish their rates, deposits, included services, additional charges, refund terms, billing rules, and admission criteria. RASCC does not set or guarantee those terms. Quotes and availability can change without notice and must be confirmed directly with the provider in writing.

The provider’s admission or service agreement controls the Consumer’s and any guarantor’s financial obligations to that provider. If there is a difference between information supplied during the referral process and the provider’s written agreement, the Consumer must resolve it directly with the provider before signing or paying. RASCC is not responsible for a provider’s pricing, billing, collections, refunds, credits, rate increases, or enforcement of its agreement.

8 Provider independence and Consumer due diligence

Providers introduced by RASCC are independent businesses and are not RASCC employees, agents, joint venturers, or controlled entities unless RASCC expressly discloses otherwise. RASCC does not control a provider’s care, staffing, supervision, operations, billing, licensing compliance, conduct, acts, or omissions.

For an RCFE referral, RASCC will refer or recommend only a facility that is licensed or lawfully exempt from licensure and will not recommend an RCFE placement when information reasonably available to RASCC shows that the Consumer cannot be cared for within the facility’s license or requires inpatient care in a health facility.

Before choosing a provider, the Consumer and family should tour or otherwise evaluate it, review the provider’s admission or service agreement, confirm current licensing and complaint information, verify rates and included services, and ask about staffing and care capabilities. RASCC does not guarantee any provider’s future performance, continued availability, safety, solvency, program participation, or suitability after admission.

9 Authorization to collect, use, and share information

The Consumer or legally authorized representative authorizes RASCC to collect, receive, use, and disclose information reasonably necessary to evaluate care options and coordinate referrals. This may include contact and demographic information; health history and diagnoses; medications; mobility and activities-of-daily-living needs; cognitive, behavioral, and safety information; discharge information; payer and budget information; and care or housing preferences.

RASCC may share relevant information with prospective providers and their authorized representatives for suitability review, assessment, availability, pricing, admission, service planning, tours, and transition coordination. RASCC may also request relevant information from sources the Consumer identifies or authorizes.

This authorization expires twelve (12) months after the Effective Date unless revoked earlier in writing. Revocation does not affect actions already taken in reliance on the authorization. A health care provider may require a separate authorization. This Agreement does not authorize release of psychotherapy notes, substance-use-disorder records protected by 42 C.F.R. Part 2, or other specially protected information unless separately authorized as required by law.

10 Responsible Party and Authorized Representative

A person signing for the Consumer represents that the person has legal authority to do so and will provide documentation upon reasonable request. A family member without legal authority may participate with the Consumer’s permission but cannot make health care decisions or authorize disclosure of protected information for the Consumer.

Signing this RASCC Agreement as a Responsible Party or family contact does not, by itself, make that person a guarantor of a provider’s charges. A person’s obligation to pay a facility must arise from that person’s separate agreement with the facility. Any person who signs the facility’s agreement as a payer or guarantor is responsible according to that separate agreement, including during any benefit-approval waiting period.

11 Communications

The Consumer and participating Responsible Party or Authorized Representative consent to being contacted by RASCC by telephone, voicemail, email, and text message at the contact information provided for requested care-connection services. Text recipients may reply STOP to opt out. Consent to marketing communications is not a condition of receiving care-connection services.

12 Safety, confidentiality, and records

RASCC may report suspected abuse, neglect, unsafe conditions, unlicensed operation, or other health-and-safety concerns to an appropriate licensing, protective-services, law-enforcement, or governmental agency when required or permitted by law. RASCC is not an emergency service. For an immediate medical or safety emergency, call 911.

RASCC will use reasonable safeguards for nonpublic information and may maintain records of inquiries, referrals, communications, provider introductions, authorizations, and placement outcomes for business administration, legal compliance, and the authorized services described in this Agreement.

13 Allocation of responsibility and limits

To the fullest extent permitted by law, RASCC is not responsible or liable for: (a) any provider’s or payer’s independent acts, omissions, decisions, statements, performance, billing, collections, refunds, care, staffing, or operations; (b) failure to locate or complete a placement; (c) a change in availability, rates, services, admission criteria, program participation, or licensing status; or (d) a government or third-party program’s eligibility decision, delay, denial, coverage limit, authorization period, reimbursement, or payment.

RASCC does not assume any obligation to pay, reimburse, indemnify, or guarantee a Consumer’s, Responsible Party’s, family’s, facility’s, insurer’s, or government program’s financial responsibility. Nothing in this Agreement excludes liability or waives a right that cannot lawfully be excluded or waived.

14 Term, termination, and general terms

This Agreement begins on the Effective Date and ends at the earliest of: (a) twelve (12) months after that date; (b) completion of the requested care-connection services; or (c) termination by the Consumer or RASCC. Either party may terminate at any time by written or electronic notice.

RASCC may decline, suspend, or terminate services when no reasonably available provider can be identified under the Consumer’s care, location, timing, budget, payment, or payer requirements; when a provider will not accept requested payment terms; when required information or cooperation is not provided; or when continued services are not reasonably feasible. RASCC is not required to conduct an indefinite search or find a provider willing to accept unavailable payment terms.

California law governs this Agreement. This Agreement is the entire agreement between RASCC and the Consumer concerning these services and may be amended only in a writing accepted by both. If a provision is unenforceable, the remaining provisions remain effective. Electronic signatures and counterparts are permitted. Provisions concerning payment, government benefits, provider independence, confidentiality, records, and allocation of responsibility survive termination as applicable.
